Banca delle Marche was an Italian bank headquartered in Ancona that was placed into resolution on November 22, 2015 and subsequently acquired by UBI Banca (now part of Intesa Sanpaolo) in 2017.

Resolution and Rescue (2015)

Banca delle Marche was one of four Italian banks resolved on November 22, 2015 by the Bank of Italy under the European Union’s Bank Recovery and Resolution Directive (BRRD). The four banks (Banca Marche, Banca Etruria, Cassa di Risparmio di Ferrara, and Cassa di Risparmio di Chieti) had a combined market share of approximately 1% of system-wide deposits.

The resolution process:

  • November 22, 2015: Bank split into “good bank” (Nuova Banca delle Marche) and “bad bank” (REV – Gestione Crediti)
  • Provisional capital: €1.041 billion
  • Tier 1 capital ratio: 9% (estimated)
  • Bad debts: Transferred to REV, shared with the other three resolved banks

UBI Banca Acquisition (2017)

On January 12, 2017, UBI Banca submitted a binding bid of €1 to acquire Nuova Banca delle Marche along with two other resolved banks. The transaction was accepted on January 18, 2017.

Key developments:

  • May 10, 2017: Transaction completed; Nuova Banca Marche renamed to Banca Adriatica
  • October 23, 2017: Merged into UBI Banca
  • April 2021: UBI Banca itself was acquired by Intesa Sanpaolo

Historical Context

The resolution of Banca delle Marche was significant as one of the first applications of the EU’s BRRD in Italy, involving bail-in of shareholders and subordinated bondholders. The episode prompted significant debate about Italian banking stability and deposit protection.

Banca delle Marche’s operations in the Ancona region continue under Intesa Sanpaolo following the 2017 UBI Banca acquisition and subsequent 2021 merger into Italy’s largest banking group.
